Strive Closes $630M SATS IPO, Could Acquire 7,372 BTC

Strive, the Bitcoin treasury company chaired and led by CEO Matt Cole, closed its upsized initial public offering of SATS preferred stock on October 20, raising $630 million in gross proceeds. The company sold 7 million shares at $90 each, with estimated net proceeds of $608.15 million after underwriting discounts, commissions, and expenses, according to BitcoinTreasuries.net. In an SEC filing, Strive indicated the funds would be used for general corporate purposes, including Bitcoin acquisitions, working capital, income-generating assets, capital expenditures, share repurchases, and strategic acquisitions—though the company has yet to specify how much of the capital will be allocated to BTC.

At an illustrative Bitcoin price of $82,500, Strive's net proceeds could purchase approximately 7,372 BTC before fees. If fully allocated to Bitcoin, the acquisition would bring Strive's reported holdings from 36,818 BTC to roughly 44,190 BTC—potentially surpassing Metaplanet's reported 44,000 BTC and positioning Strive as one of the largest corporate Bitcoin holders. SATS shares carry a 15% annual dividend on their $100 stated amount, equivalent to $15 per share annually if paid in full, representing an annualized yield of 16.67% at the $90 IPO price. Dividends are cumulative and payable when declared by Strive's board, with payments scheduled to begin each business day starting November 9.

Strive chief risk officer Jeff Walton noted that the company carries no debt or maturities and remains focused on a single obligation: servicing its dividend payments. The structure reflects a growing trend among publicly traded companies accumulating Bitcoin as a treasury reserve asset, with firms like Metaplanet and MicroStrategy setting benchmarks for corporate BTC adoption. Strive's IPO outcome signals continued institutional appetite for Bitcoin-focused financial instruments, even as the market navigates evolving regulatory and macroeconomic conditions.

The SATS offering underscores how traditional equity instruments are being repurposed to channel capital into Bitcoin. With daily dividend payments and a fixed-rate return structure, SATS provides income-oriented investors indirect exposure to BTC accumulation strategies. Strive's next steps—including any forthcoming disclosures on its Bitcoin allocation—will likely shape sentiment among both crypto-native and mainstream investors watching the corporate treasury space closely.
